**64292BR****Job Title:**Commercial Transactions Attorney**Job Description & Qualifications:**We are seeking exceptional candidates to join our fast-growing commercial vehicle and electric charging business! Ford Pro is an important part of Ford Motor Company's future and we're looking for the best and brightest. This role will require critical thinking, problem solving capabilities, and a "get it done" attitude to help make strategic, legal and policy decisions that will enable Ford to remain a global leader in commercial vehicles, connectivity, customer experience, data analytics, and charging solutions for retail and fleet customers.Ford Pro, the commercial vehicle business unit within Ford Motor Company, is seeking an outstanding commercial lawyer to support its business operations in the US and Canada. A successful candidate for this position will demonstrate strong experience with handling complex commercial transactions, preferably in a manufacturing context, enterprise software, data analytics and SaaS-related contracts, product marketing and product liability issues, an understanding of state franchise laws impacting dealers and vehicle sales, and state and federal regulations, as well as the ability to work collaboratively with teams of business clients, internal legal colleagues and outside counsel to effectively handle a wide variety of matters. The position will also support the business' further development and commercialization of complete end-to-end electric vehicle charging solutions, including hardware and software products, services and installation.**What you'll be able to do:**Provide strategic oversight of a portfolio of complex legal matters, including the following:+ Provide legal support to the Ford Pro business on a broad range of policy, regulatory and market-specific legal and compliance matters.+ Ability to structure, draft and negotiate a high volume and broad range of commercial contracts, including master services agreements, professional services agreements, supply agreements, partner agreements, non-disclosure agreements, MOUs and letters of intent.+ Provide support for mergers, acquisitions, strategic alliances and minority investments within the Ford Pro business.+ Work alongside other business functions, including policy teams and government affairs, and, as a cohesive team, contribute to the overall strategy of the business and drive performance.+ Support business operations, providing direction and counsel regarding compliance with all applicable laws and regulations, and staying abreast of laws, legislative developments and developing external trends.+ Support regulatory, government affairs and automotive safety teams in monitoring trends and interfacing with federal, state and local agencies, as needed.+ Work with Ford's Office of General Counsel colleagues to counsel business partners in various employment, litigation, real estate and regulatory matters.+ Oversee and coordinate various corporate governance matters for Ford Pro subsidiaries**The minimum requirements we seek:**+ Juris Doctorate from an ABA-accredited law school+ 5+ years of legal experience, with membership in good standing of the Michigan Bar (or member in good standing of another state bar and eligible for registered in-house counsel status in Michigan)**Our preferred requirements:**+ 1+ years of experience practicing as in-house counsel for a multi-national corporation+ Preferred experience in the automotive, technology, or manufacturing industries, or at a large law firm handling similar matters.+ Ability to understand business needs and partner with internal clients, cross-functional teams and third parties to find creative solutions to complex problems+ Experience supporting medium to large sales and manufacturing organizations that sell products and technology to enterprise and end-user customers.+ Proven ability to work quickly and provide entrepreneurial, pragmatic, business-oriented advice and recommendations that properly balance the legal risk and business reward+ Experience drafting, negotiating, and implementing complex technology, hardware and software-related commercial agreements.+ Demonstrated ability to learn business requirements quickly, analyze legal and business risks, and propose creative, business-oriented solutions.+ Excellent written and oral communication skills+ Skilled at explaining complex legal concepts such that non-lawyers can understand them, the issues and associated risks+ Ability to work independently and collaboratively across diverse teams+ Experience engaging with engineers, software developers and others technical personnel+ Varied exposure to substantive legal practice areas typically encountered by large companies, in particular, commercial transactions, risk mitigation and regulatory counseling+ Demonstrated ability to work well in time-sensitive situations and fast-paced environments+ Ability to multitask, handle many conflicting priorities and move forward on multiple projects, while balancing the strategic priorities of the business+ Familiarity with the automotive or high-tech industries; interest in learning new things**What you'll receive in return:**As part of the Ford family, you'll enjoy excellent compensation and a comprehensive benefits package that includes generous PTO, retirement, savings and stock investment plans, incentive compensation and much more.
